1. Agreement & eligibility
These Terms of Service form an agreement between you and Integers Uganda Ltd governing your use of Nexa. By using Nexa you confirm that you are at least 18 years old and authorised to act on behalf of the business you represent.
2. The service
Nexa is an AI-powered assistant, delivered through WhatsApp, that helps businesses perform EFRIS activities — such as generating fiscal invoices and receipts, issuing credit and debit notes, and managing stock — by communicating with URA’s EFRIS on your instruction.
3. Registration & EFRIS connection
To use Nexa you must provide accurate registration details and connect your URA EFRIS credentials. By doing so, you authorise Integers to transmit fiscal data to URA on your behalf. You are responsible for keeping your access secure and your information up to date.
4. Your responsibilities
You are responsible for complying with all applicable tax laws and URA requirements, for the accuracy and legality of the data you submit through Nexa, and for the transactions you fiscalise. You must not use Nexa for any unlawful, fraudulent or misleading purpose.
5. EFRIS & URA
Integers is not the Uganda Revenue Authority. Nexa facilitates your interactions with EFRIS but does not control URA systems. We are not responsible for URA downtime, changes to EFRIS, or decisions made by URA. Fiscalisation is subject to URA’s systems and rules.
6. Acceptable use
You may not use Nexa to issue false or fraudulent invoices, evade tax, trade in illegal goods or services, abuse or overload the service, or infringe the rights of others. We may suspend accounts that breach this section.
7. Fees & billing
Paid plans are billed in advance on a recurring basis. Fees are stated exclusive of applicable taxes unless otherwise noted. If payment fails or is overdue, we may suspend or downgrade your access. Fees are non-refundable except where required by law.
8. AI outputs
Nexa uses artificial intelligence and may occasionally produce incomplete or inaccurate results. You are responsible for reviewing outputs — including invoice details — before relying on them. Nexa does not provide tax, accounting or legal advice.
9. Intellectual property
Integers owns all rights in Nexa, including its software, models and branding. You retain ownership of your business data. You grant us a limited licence to process that data solely to provide the service.
10. Data protection
We handle personal data in accordance with our Privacy Policy and the Data Protection and Privacy Act, 2019 of Uganda.
11. Third-party services
Nexa relies on third-party services including WhatsApp/Meta, payment providers and URA EFRIS. Your use of those services is subject to their own terms, and we are not responsible for their availability.
12. Warranties
Nexa is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the maximum extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, Integers’ total liability arising from the service is limited to the fees you paid in the three months before the claim. We are not liable for indirect, incidental or consequential losses, including tax penalties resulting from inaccurate data you provided.
14. Indemnification
You agree to indemnify Integers against claims, losses and expenses arising from your breach of these terms or your misuse of the service.
15. Suspension & termination
You may stop using Nexa at any time. We may suspend or terminate access if you breach these terms, fail to pay, or use the service unlawfully. On termination, your right to use Nexa ends, subject to any data-retention obligations under law.
16. Changes to the service or terms
We may update the service and these terms from time to time. Material changes will be notified, and continued use after changes take effect constitutes acceptance.
17. Governing law
These terms are governed by the laws of the Republic of Uganda, and disputes are subject to the exclusive jurisdiction of the courts of Uganda.
